1. Agreement to Terms

By accessing or using the Soursea platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access the Service. These Terms apply to all visitors, users, and others who access or use the Service.

2. Definitions

"Company," "we," "us," or "our" refers to Soursea and its affiliates. "User," "you," or "your" refers to the individual or entity accessing or using the Service. "Content" means any information, data, text, software, graphics, or other materials uploaded, downloaded, or appearing on the Service. "Subscription" refers to paid plans that provide access to premium features.

3. Description of Services

Soursea provides an AI-powered product sourcing and analysis platform that includes: (a) automated product analysis and margin calculation, (b) supplier risk assessment, (c) AI-generated supplier communication tools, (d) integration with third-party platforms such as Shopify, Alibaba, and 1688, and (e) data export functionality. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.

4. User Accounts

To use certain features of the Service, you must create an account. You agree to: (a) provide accurate, current, and complete information during registration, (b) maintain and promptly update your account information, (c) maintain the security of your password and accept all risks of unauthorized access, (d) promptly notify us if you discover any security breaches. You must be at least 18 years old or the age of legal majority in your jurisdiction to use the Service.

5. Subscription and Payment

Paid subscriptions are billed in advance on a monthly or annual basis. All fees are quoted in US Dollars unless otherwise specified. Prices are subject to change with 30 days prior notice. You authorize us to charge your designated payment method for all applicable fees. Failure to pay may result in suspension or termination of your account. Taxes may apply based on your location.

6. Acceptable Use Policy

You agree not to: (a) use the Service for any unlawful purpose or in violation of any applicable laws, (b) attempt to gain unauthorized access to any portion of the Service, (c) interfere with or disrupt the Service or servers connected to the Service, (d) use automated systems or software to extract data from the Service without our express written consent, (e) transmit any viruses, malware, or other malicious code, (f) impersonate any person or entity, (g) use the Service to infringe upon intellectual property rights of others.

7. Intellectual Property Rights

The Service and its original content, features, and functionality are owned by Soursea and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent. You retain ownership of any content you submit to the Service, but grant us a worldwide, non-exclusive license to use, reproduce, and display such content in connection with the Service.

8. Third-Party Services

The Service may contain links to third-party websites or services that are not owned or controlled by Soursea. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services. When you connect third-party services (such as Shopify or Alibaba), you agree to comply with their respective terms of service. Your use of such third-party services is at your own risk.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT: (A) THE SERVICE WILL FUNCTION UNINTERRUPTED, SECURE, OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION, (B) ANY ERRORS OR DEFECTS WILL BE CORRECTED, (C) THE AI ANALYSIS RESULTS ARE ACCURATE OR RELIABLE, (D) THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS. YOU USE THE SERVICE AT YOUR OWN RISK.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SOURSEA BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US DURING THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.

11. Indemnification

You agree to defend, indemnify, and hold harmless Soursea, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees arising out of or relating to your violation of these Terms or your use of the Service.

12. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good faith negotiations. If the dispute cannot be resolved within 30 days, it shall be submitted to binding arbitration in accordance with the rules of the applicable arbitration association. For users in the European Union, you may also use the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Korea, without regard to its conflict of law provisions. For users in the European Union, mandatory consumer protection laws of your country of residence may also apply.

15. Country-Specific Provisions

European Union: Consumers in the EU have the right to withdraw from distance contracts within 14 days without giving any reason. By using the Service immediately, you acknowledge that you may lose this right of withdrawal once the digital service has been fully performed. South Korea: These Terms comply with the Act on the Consumer Protection in Electronic Commerce. You may file complaints with the Korea Consumer Agency (www.kca.go.kr) or the e-Commerce Mediation Committee. United States: You waive any right to participate in class action lawsuits or class-wide arbitration.

16. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

17. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide at least 30 days advance notice of any material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms.

18. Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Soursea regarding the Service and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral.
